General Terms and Conditions of Sale
1. What these general terms and conditions of sale govern
These general terms and conditions of sale govern the relationship between Board Sports S.r.l., with registered office at Via Archimede 96, 20129 Milan (MI), Italy, VAT number 12296840965 (hereinafter "Board Sports"), and the buyer (hereinafter the "Customer") of a product on the website www.balanceboard.pro (hereinafter the "Website").
Board Sports S.r.l. owns the brand Balance Board Pro, made in Italy®.
2. How and when the sales contract is concluded
A Customer who intends to purchase products on the Website shall:
a. select the products one at a time or choose a kit of several products and add them to the cart;
b. access a summary page showing the selected products, their price, and delivery times and costs;
c. place the order using the dedicated button.
The order placed by the Customer with Board Sports through the Website constitutes a contractual proposal.
The sales contract is deemed concluded when Board Sports sends an order-confirmation email to the Customer.
The email contains the Customer's details, the order number, the price of the goods purchased, the shipping costs, the delivery address to which the goods will be shipped, and the link through which a copy of these terms can be printed and stored.
The Customer undertakes to check the accuracy of the personal data contained in the order-confirmation email and to notify Board Sports immediately of any corrections.
3. Who may purchase on the Website
Only persons aged at least 18 may purchase products on the Website.
When purchasing the products, the Customer must provide truthful, correct and complete information.
The Customer must also immediately notify Board Sports of any changes to the data provided.
The Customer agrees to indemnify and hold Board Sports harmless from any obligation to pay compensation and/or penalties in any way connected with a breach of these rules on the provision and disclosure of their data, except in the case of wilful misconduct or gross negligence by Board Sports.
Board Sports reserves the right not to sell the product to Customers domiciled or resident in non-EU countries.
4. Product availability
The products on the Website are available in limited quantities.
Due to the simultaneous presence of multiple users on the Site, the products may be sold to other customers before the Customer receives confirmation of their order.
For this reason, once the order is received, Board Sports will inform the Customer by email if any of the ordered products are unavailable.
5. Product information
Board Sports tries to describe and illustrate the items on the Website as accurately as possible.
However, it cannot guarantee that the details of the images on the Site fully (100%) correspond to those of the actual product. Slight differences are sometimes also possible depending on the internet browser and monitor used by the Customer and, above all, on the handcrafted nature of the products sold: each product is unique and different from the others.
When purchasing the product, the Customer declares that they are aware of the handcrafted nature of the products purchased.
In the event of a difference between the image and the written description of the product, the written description always prevails.
Board Sports invites the Customer to read carefully the information relating to each product, in particular the Balance Board Pro.
The Customer must read the Balance Board Pro instructions before using it. These instructions are provided in the packaging and also cover the safety and precautionary measures to be taken when using the product.
The Customer undertakes to follow these instructions.
6. Liability
The Customer is aware that the use of the Balance Board Pro may be dangerous and that they must:
not alter the Balance Board Pro in any way;
not use a Balance Board Pro that has been altered in any way or that is defective;
not use the Balance Board Pro for purposes other than those for which it was built.
The Customer shall be held fully liable for damage of any kind resulting from improper, incorrect or otherwise non-compliant use of the Balance Board Pro relative to the instructions received, except in the case of wilful misconduct or gross negligence by Board Sports.
Should Board Sports fail to fulfil the order within the term set out in the contract, it shall not be held liable for any inefficiency due to force majeure or unforeseeable circumstances, even if this depends on malfunctions and inefficiencies of the internet network.
Board Sports is not liable for damage of any nature resulting from improper use of the product by the Customer.
Except in cases of wilful misconduct or gross negligence, Board Sports is liable only for damage that is a direct and immediate consequence of its breach of these terms of sale and that was foreseeable at the time the sales contract was concluded.
7. Product prices
All prices on the Website are inclusive of VAT.
It may happen, despite Board Sports making every effort to avoid it, that the price of a product on the Site is erroneously different from the actual one.
When Board Sports checks the order received, it also verifies that the product prices are correct.
If the price shown on the Site is lower than the correct sale price of a product, Board Sports will contact the Customer to verify their intention to purchase the product at the correct price. If the Customer does not intend to purchase it at the correct price, Board Sports cannot accept the order.
If the correct price of a product is lower than that shown on the Site, Board Sports will charge the Customer only the lower correct price and will ship the product anyway.
8. Payment
Payment can be made using the payment systems indicated on the Site, including PayPal, credit cards, Apple Pay and bank transfer.
If the Customer pays via PayPal, the order amount will be charged to the PayPal account upon receipt of the order.
If the Customer pays by credit card, the order amount is charged upon receipt of the order.
If the Customer pays by bank transfer, Board Sports will fulfil the order only after the amount has actually been credited to Board Sports' bank account. Therefore, the delivery term for the Products runs from the date of crediting.
This crediting must take place within two working days of the date of acceptance of the order, after which the order is deemed automatically cancelled.
9. Delivery of the products
The products will be delivered by express courier to the address indicated by the Customer at the time of the order, within the term specified in the order-confirmation email sent by Board Sports and in any case within 30 days of the date on which the Customer received the order-confirmation email.
Shipping costs are borne by the Customer, where specified, and are in any case indicated before the Customer places the order and in the order-confirmation email.
For shipments outside Italy, any import or customs duties of any kind are borne by the Customer.
10. Customs duties and VAT for non-EU shipments
For shipments to countries outside the European Union, unless otherwise agreed in writing, sales are understood to be made under the DAP (Delivered At Place) term.
This means that any customs duties, local taxes, import VAT, customs-clearance charges and any other tax or administrative charge required by the authorities of the country of destination are borne exclusively by the customer.
The customer undertakes to pay such amounts directly to the courier or to the competent customs authorities in order to allow customs clearance and delivery of the goods.
11. Product guarantee
The products sold by Board Sports are covered by the legal guarantee of conformity.
If the Customer receives products that do not conform to the sales contract, they have the right to request, free of charge, that conformity be restored through repair or replacement of the product and, under the conditions provided by law, a price reduction or termination of the contract, within the limits and in accordance with the procedures provided by law.
If the Customer qualifies as a "Consumer" within the meaning of Article 3 of the Italian Consumer Code (Legislative Decree 206/2005), the legal guarantee of conformity lasts 24 months (two years) from delivery of the goods. Unless proven otherwise, any lack of conformity that becomes apparent within 12 months of delivery is presumed to have existed at that date. The Consumer is not subject to any obligation to report the defect within mandatory time limits.
"Consumer" means a natural person acting for purposes unrelated to any business, commercial, craft or professional activity carried out.
If the Customer does not qualify as a consumer (purchase made in the exercise of a business, commercial, craft or professional activity), the warranty for defects in the goods sold provided by the Italian Civil Code (Articles 1490 et seq.) applies, with the obligation to report defects within 8 days of discovery and a limitation period of one year from delivery (Article 1495 of the Civil Code).
Any fault or malfunction of the product resulting from alteration of the product by the Customer or from use not compliant with the instructions provided is excluded from the scope of the guarantee.
12. Right of withdrawal
A Customer who qualifies as a consumer has the right to withdraw from the sales contract concluded with Board Sports within 30 days of receipt of the product and without giving any reason. The 30-day period is granted voluntarily by Board Sports and is longer than the minimum legal period of 14 days provided by Articles 52 et seq. of the Italian Consumer Code.
The Customer may exercise the right of withdrawal by sending the relevant communication to Board Sports, including by filling in this form.
Once this decision has been communicated to Board Sports, the Customer must return the purchased product within 14 days.
The product must be returned to the following address: Balance Board Pro c/o MOMOKA S.r.l.s., Strada Lungofino 187, Blocco H Modulo 14, 65013 Città Sant'Angelo (PE), Italy.
The direct cost of returning the product is borne by the Customer, except for defective or non-conforming products, for which the costs are borne by Board Sports.
Within 14 days of the day on which Board Sports became aware of the decision to withdraw, Board Sports will refund the amount paid by the Customer, including the standard delivery costs incurred, with the exception of supplementary costs arising from a delivery method other than the standard one offered by Board Sports.
Board Sports will issue the refund using the same payment method chosen by the Customer during the purchase, unless the Customer requests otherwise.
In any case, Board Sports may withhold the refund until it has received the product or until the Customer provides suitable documentation showing that the goods have been returned to Board Sports.
12.1 Exclusion of the right of withdrawal for digital content
The Customer acknowledges that some products sold on the Site may consist of digital content supplied by electronic means, including digital courses available exclusively by streaming and not supplied on a tangible medium.
Pursuant to Article 59(1)(o) of the Italian Consumer Code (Legislative Decree 206/2005), the right of withdrawal is excluded for the supply of such digital content once performance has begun, provided that: a) the Customer has expressly requested the immediate performance of the digital content; and b) the Customer has expressly acknowledged that, with such request, they will lose the right of withdrawal.
For digital courses made available by streaming and without a tangible medium, the Customer is required, before completing the order, to provide such request and express acknowledgement by selecting the dedicated mandatory acceptance checkbox displayed during the purchase process. The Customer's acceptance is recorded, together with the relevant date and time (timestamp), and associated with the order for evidentiary and legal-compliance purposes.
13. Abandoned-cart recovery
If, during the purchase process, the Customer enters their email address but does not complete the order, Board Sports may send a reminder to help the Customer complete the purchase.
In the absence of marketing consent, the Customer will receive a single email, with no promotional content, sent on the basis of the controller's legitimate interest (Article 6(1)(f) GDPR).
If marketing consent has been given, Board Sports may send further communications.
14. Applicable law and jurisdiction
These general terms and conditions of sale are governed by Italian law.
For any dispute relating to a purchase made on the Website, a Customer who qualifies as a consumer may, as an alternative to court proceedings, start an alternative dispute resolution (ADR) procedure by contacting a mediation/conciliation body listed in the relevant ministerial registers. A consumer resident in the European Union may also seek assistance from the European Consumer Centre Italy (ECC-Net Italy).
Any dispute relating to these terms and conditions that is not resolved amicably shall be submitted to the jurisdiction of the court of the place of residence or domicile of the Customer qualifying as a consumer.
In the event of a dispute with a Customer who does not qualify as a consumer, the court of Milan has exclusive jurisdiction.
15. Governing language
These Terms and Conditions of Sale are drawn up in Italian and English. The Italian version is the legally binding one; the English text is provided for the Customer's convenience and, in the event of any discrepancy or conflict of interpretation, the Italian version prevails.
